Souto Correa’s Corporate & M&A practice area assists national and international clients in matters related to corporate and corporate governance matters, providing complete legal counseling for structuring and implementing merger and acquisition (M&A) transactions, including the purchase and sale of ownership interest and assets, corporate reorganizations, negotiation and drafting of shareholders’ agreements, negotiation of joint ventures and consortia, and coordination and execution of due diligence.

- Legal counseling to a metal company in the acquisition of one of their competitors, including due diligence, negotiation of a quota purchase and sale agreement, and negotiation and drafting of a factory lease agreement;
- Representation of an investment fund and a company investing in the energy generation sector in the acquisition of a company specializing in solar power generation, including carrying out due diligence and assisting the client in negotiating the terms of the deal;
- Legal counseling on the divestiture of a Brazilian subsidiary of a multinational company in the agricultural machinery sector, including drafting and registering documents related to the separation of the businesses in Brazil;
- Representation of an international client in a joint strategic acquisition for land and forest exploitation in Brazil, in addition to providing support in financing negotiations, and in planning and implementing a complex corporate structure to make that land acquisition feasible.

We have advised the first M&A of Pipo Saúde, a digital health and corporate benefits brokerage. The company acquired the operation of HRTech Convenia, a benefits brokerage that serves more than 40 clients and covers more than 11,000 lives. The transaction sets Pipo to extend its portfolio to 80,000 lives covered and 220 corporate clients.
